Terms of Service
These Terms of Service ("Terms") govern access to and use of iGrades, a school information and learning management platform operated by iTrusTech Inc. ("iGrades," "we," "us," or "our"). By creating an account, signing in, or otherwise using iGrades, you agree to these Terms on behalf of yourself and, if you are signing up a school, on behalf of that school ("School," "Customer," or "you").
1. Who These Terms Apply To
iGrades is used by several kinds of accounts within a School: School Administrators, Teachers, Guardians, and Students (each an "Account," and together "Users"). A School Administrator who creates a School's account represents that they are authorized to accept these Terms on behalf of the School. Teachers, Guardians, and Students are typically invited by a School Administrator and use iGrades subject to both these Terms and any additional policies the School itself sets for its community.
2. The Service
iGrades provides tools for gradebooks, assignments, attendance, messaging, announcements, calendars, analytics, and related school-management features, made available on a subscription basis to Schools. We may add, change, or remove features over time, and may offer new plans or discontinue old ones; we'll make reasonable efforts to give Schools notice of changes that materially reduce functionality they already pay for.
3. Accounts and Access
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
- A School Administrator is responsible for determining who within their School receives an Account (Teacher, Guardian, or Student) and for promptly deactivating access when appropriate (e.g., a staff member leaves, or a student withdraws).
- You must provide accurate registration information and keep it up to date.
- You must notify us promptly of any known or suspected unauthorized use of an Account.
4. School Responsibilities
Because iGrades is used to record and manage student information, the School is responsible for: (a) ensuring it has the legal right to enter student, guardian, and staff information into iGrades and to invite those individuals to use it; (b) complying with applicable education and privacy laws (including, in the United States, the Family Educational Rights and Privacy Act ("FERPA") and, for Schools serving children under 13, the Children's Online Privacy Protection Act ("COPPA")) in how it uses iGrades and directs the use of student data within it; and (c) obtaining any parental or guardian consents required under those laws before providing Students under the age of majority with an Account. 5. Subscriptions, Trials, and Payment
Paid plans are billed according to the pricing and billing terms presented at signup or agreed with iGrades directly. A School that signs up through our self-serve trial receives a limited-time free trial; unless the School upgrades to a paid plan before the trial ends, School Admin, Teacher, Guardian, and Student access may be paused at the end of the trial period. Fees are non-refundable except as required by law or as we otherwise agree in writing. We may change our pricing for future billing periods with advance notice to the School's primary administrator.
6. Acceptable Use
You agree not to: use iGrades to violate any law or the rights of others; upload content you don't have the right to share; attempt to gain unauthorized access to another School's data or to any part of iGrades you're not authorized to access; interfere with or disrupt the integrity or performance of iGrades; or use automated means to access iGrades except through interfaces we provide.
7. Content and Data Ownership
As between iGrades and a School, the School owns the student records, grades, attendance data, messages, photos, and other content it or its Users submit to iGrades ("School Data"). The School grants iGrades a limited license to host, store, process, and transmit School Data solely as necessary to provide and support the Service, and as described in our Privacy Policy. We do not sell School Data, and we do not use School Data to train third-party AI models or for advertising.
8. Suspension and Termination
We may suspend or terminate a School's access if: its subscription lapses or is canceled; it materially breaches these Terms; or we reasonably believe continued access poses a security or legal risk. A School may stop using iGrades at any time. Upon termination of a School's account, we may permanently delete that School's data from iGrades (including cascading deletion of related records across every affected feature); a School that wants a copy of its data before closing its account should contact us to request an export in advance of termination.
9. Intellectual Property
iGrades and its underlying software, design, and branding are owned by iTrusTech Inc. and are protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or branding except as needed to use the Service as intended.
10. Disclaimer of Warranties
iGrades is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that the Service will be uninterrupted, error-free, or completely secure.
11. Limitation of Liability
To the fullest extent permitted by law, iTrusTech Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising from your use of iGrades, even if advised of the possibility of such damages. Our total liability for any claim relating to the Service will not exceed the amount the School paid us in the twelve (12) months before the claim arose.
12. Indemnification
You agree to indemnify and hold iTrusTech Inc. harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Service.

14. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we'll update the "Effective" date above and, where our systems support it, ask Users to re-confirm their agreement the next time they sign in. Continued use of iGrades after a change takes effect constitutes acceptance of the revised Terms.
